The following history provides a brief summary of the transactions that Clayton Chambers has personally participated in throughout his career. Davis/Chambers & Company, Ltd.

  • Red Oak Sportswear, Inc. (March, 2005) - Represented the owners of this firm in its sale to Knights Apparel, Inc.
  • Ovation Data Services, Inc. (January, 2003) - Represented Ovation in the acquisition of DPTS Group Holding Limited, a UK based company.

Brazos Sportswear, Inc. Acquisitions and Divestitures (acting as CFO)

  • Needleworks, Inc. (December 1995)
  • Acquired embroidery company.
  • Plymouth Mills, Inc. (August 1996)
  • Acquired company with financing provided by Fleet Capital and Allied Capital.
  • Sun Sportswear, Inc. (March 1997)
  • Acquired Sun Sportswear through reverse acquisition of this public company.
  • Brazos Sportswear, Inc. (March 1997)
  • In conjunction with the Sun Sportswear acquisition, arranged $2 million in preferred stock for Brazos Sportswear, Inc.
  • Morning Sun, Inc. (July 1997)
  • Acquired $60 million sportswear firm.
  • Premier Sports Group, Inc. (July 1997)
  • Acquired $20 million sportswear designer and import company.
  • High Yield Offering (July 1997)
  • Financing for Morning Sun and Premier Sports acquisitions provided by $100 million high yield offering underwritten by Dillon Read.
  • CS Crable Sportswear (September 1997)
  • Acquired $25 million collegiate sportswear firm.
  • Sunrise Turquoise (November 1997)
  • Acquired sportswear and heat transfer firm.
  • Gulf Coast Sportswear (May 1999)
  • Sold sportswear distribution division.

  • Sold collegiate sportswear division.

  • Southwest Stainless, Inc. (August, 1988)
  • Represented the owners of this firm in its sale to Jemison Investment Company.
  • Hansbrough Environmental Services (November 1998)
  • Represented the owners of Hansbrough in the firms sale to GSX Chemical Services.
  • The ProCare Companies (December 1988)
  • Sponsored the acquisition and arranged necessary private financing for the acquisition of ProCare.
  • GCS Holding Company (February 1989)
  • Sponsored the leveraged recapitalization of this wholesale distributor of sportswear.
  • K&M Tools, Inc. (August 1989)
  • Arranged $8.5 million in senior debt and $1.8 million of equity and mezzanine financing for the leveraged recapitalization of K&M.
  • ContinuCare, Inc. (January 1990)
  • Acted as financial advisor in the merger of The ProCare Companies, Inc. and Insta-Medic, Inc. (name changed to ContinuCare, Inc.).
  • Semco, Inc. (February 1990)
  • Arranged $4 million Senior Bank loan.
  • Two Pesos Mexican Café (June 1990)
  • Assisted Mr. Ghulam Bombaywala in the financing and acquisition of a majority stake in this public restaurant firm.
  • Marcos Mexican Restaurants (June 1990)
  • Arranged $1.5 million senior term loan for Marcos.

  • Acted as financial advisor to lead underwriter in successful $13.5 million convertible stock issue.

  • Represented GCS Holding Company in the acquisition of this screen printing company.

  • Arranged $5.7 private placement for the development of Blockbuster Video Stores in London, England.
  • Semco, Inc. (April 1992)
  • Acted as financial advisor to financial group that acquired the firm.
  • Gulf Coast Sportswear (May 1992)
  • Arranged $10 million revolver and term loan facility from Barclays Business Credit.
  • Islander Sportswear (August 1992)
  • Arranged $1.1 million in subordinated debt and convertible preferred stock for this active wear company.
  • The Neighborhood Check Casher (November 1992)
  • Acted as financial advisor to the owner of this firm in its sale to a private investor group.

  • Assisted ProCare in its sale to Hearthstone HomeHealth, Inc.

  • Softcraft, Inc. (March, 1987) - Supported corporate finance effort that arranged for the sale of Softcraft to Novell, Inc.
  • Tristar Entertainment Ltd. 3, L.P. (December. 1987) - Member of successful corporate finance effort that raised $2.5 million for the development of Blockbuster Video stores in Denver, CO.
